4. Client Responsibilities

Information Accuracy

Provide accurate and complete information during assessments

Update us promptly of any changes that may affect service delivery

Respond to requests for information in a timely manner

Implementation Cooperation

Participate actively in scheduled meetings and check-ins

Provide necessary access to business systems and processes

Implement recommended changes in good faith

Communicate challenges or concerns promptly

Payment Obligations

Pay all fees according to agreed-upon terms

Provide valid payment information

Notify us of any billing issues within 30 days

5. Service Delivery and Timeline

Services begin within 5-10 business days of payment

You retain ownership of your business data and processes

We may use anonymized case studies for marketing (with your consent)

License Grant

We grant you a non-exclusive license to use implemented systems

License is tied to our ongoing support and maintenance

Transfer or resale of systems requires written permission

7. Payment Terms and Billing

Payment Processing

Payments processed through secure third-party processors

Credit card, ACH, and other payment methods accepted

Payment confirmation required before service delivery begins

Payment Plans

Monthly payment plans available for qualifying services

Automatic billing on agreed-upon dates

Failed payments may result in service suspension

Late Payments and Fees

Payments are due within 30 days of invoice date

Late fee of 1.5% per month may be charged on overdue amounts

Services may be suspended for accounts more than 60 days overdue

Refund Policy

Refunds considered on a case-by-case basis

Work completed cannot be refunded

Refund requests must be made within 30 days

Processing fees and third-party costs may not be refundable

8. Confidentiality and Non-Disclosure

Client Responsibility

10. Limitation of Liability

Our total liability is limited to the amount paid for services

We are not liable for indirect, consequential, or punitive damages

Business loss or lost profits are not covered under any circumstances

Exclusions

We are not liable for results of client's failure to implement recommendations

Third-party system failures or integration issues are excluded

Force majeure events and circumstances beyond our control are excluded

11. Indemnification

You agree to indemnify and hold harmless AI First Contact from claims arising from:

Your use of our services in violation of these Terms

Breach of confidentiality or intellectual property rights

Misrepresentation of information provided to us

Your business operations and decisions

12. Termination

Termination by Client

Services may be terminated with 30 days written notice

Payment obligations continue for work completed

Early termination of payment plans may incur fees

Termination by Company

We may terminate for non-payment or breach of Terms

Immediate termination allowed for material breaches

Notice provided when possible and practical

Effect of Termination

Access to proprietary systems may be revoked

Confidentiality obligations survive termination

Outstanding payments become immediately due

13. Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including:

Natural disasters, pandemics, or government actions

Internet outages or third-party system failures

Supplier or vendor disruptions

Other unforeseeable circumstances

14. Dispute Resolution

Governing Law

These Terms are governed by the laws of California

Disputes subject to jurisdiction of California courts

Dispute Resolution Process

Direct Communication: Attempt to resolve disputes through direct discussion

Mediation: If needed, participate in good faith mediation

Arbitration: Binding arbitration for disputes over $10,000

Class Action Waiver

Class actions and collective proceedings are waived
